Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Blyxxa LLC ("Company", "we", "us", or "our"), governing your access to and use of the NexusPages website, software, marketplace storefronts, and business directory services (collectively, the "Platform").

1. Service Description & Scope

NexusPages provides a modern SaaS-enabled local business discovery platform, digital directory, merchant profiles, SEO landing pages, and custom domain storefront hosting. We empower local businesses to establish an authoritative online presence and connect directly with local consumers worldwide.

2. User Accounts & Responsibilities

• Accuracy of Information: You agree to provide true, current, and complete information during registration and keep your account details updated.
• Credential Security: You are strictly responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms, engage in deceptive commercial practices, or compromise platform integrity without prior notice.

3. Subscriptions, Payments & Billing

• Stripe Payment Processing: Paid packages (Lite and Pro memberships, featured marketplace spots) are billed and processed securely via Stripe under Blyxxa LLC. Card statements may reflect "Blyxxa LLC" or "NexusPages".
• Automatic Renewal: Paid subscriptions automatically renew on a recurring monthly or annual basis unless cancelled prior to the billing renewal date through your account portal.
• Digital Deliverables: Because services, automated SEO generation, and directory listing privileges are activated immediately upon payment, all rendered billing cycles are non-refundable once active, except where mandated by local consumer protection statutes.

4. Prohibited Content, Intellectual Property & Zero Tolerance

Users and merchants retain intellectual property ownership of their submitted text, photos, and trade logos, but grant Blyxxa LLC a worldwide license to host, display, and promote such listings.

• Zero Tolerance for CSAM (18 U.S.C. § 2258A): We maintain absolute zero tolerance for Child Sexual Abuse Material (CSAM). All uploaded media is screened via automated perceptual hashing algorithms. Any suspected illegal material results in immediate permanent ban and immediate referral to law enforcement agencies and NCMEC.
• Copyright Infringement & DMCA Takedown (17 U.S.C. § 512): We respect third-party intellectual property. Commercial stock photos or copyrighted works used without license will be removed promptly upon receipt of a valid DMCA Notice. Submit notices to: contact@blyxxa.com.
• Unlawful & Deceptive Practices: Posting counterfeit goods, fraudulent advertisements, predatory financial schemes, or misleading reviews is strictly prohibited.

5. Safe Harbor Protections & Intermediary Liability (US Section 230 CDA)

Under Section 230 of the Communications Decency Act (47 U.S.C. § 230) and equivalent international safe harbor doctrines (e.g., UK Electronic Commerce Regulations, EU E-Commerce Directive), NexusPages operates as an interactive computer service provider and intermediary showcase. We are not the publisher or speaker of third-party business listings, reviews, or seller offerings posted by independent merchants.

6. Marketplace Disclaimers & Direct Merchant Transactions

• Transaction Risk: Product inquiries, payments, fulfillment, and returns are negotiated directly between buyers and merchants. We advise consumers to verify product authenticity and merchant reputation.
• Verification Badges: Badges (such as "Verified Merchant" or "ID Checked") indicate that basic documentation or domain ownership checks were completed. They do not constitute an endorsement, insurance, warranty, or financial guarantee by Blyxxa LLC.

7. Disclaimer of Warranties & Limitation of Liability

The Platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Blyxxa LLC shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from your use of the Platform.

8. Governing Law & Dispute Resolution

These Terms and any dispute arising from your use of the Platform shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles. Any legal action or proceeding shall be instituted exclusively in the state or federal courts located in Bernalillo County, New Mexico.
