Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Blyxxa LLC ("Company", "we", "us", or "our"), governing your access to and use of the NexusPages website, software applications, merchant storefronts, digital directories, and related services (collectively, the "Platform"). By accessing, browsing, registering for, or using our Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. Service Description & Scope

NexusPages is a cloud-based Software-as-a-Service (SaaS) business discovery and digital infrastructure platform. Our services include an authoritative global business directory, digital storefront creation, search engine optimization (SEO) landing pages, custom domain routing, and Turnkey Rental Websites (ready-made niche lead-generation sites). Users and commercial merchants may participate via free registration or upgrade to premium memberships (Lite and Pro tiers), or lease turnkey websites to establish an immediate local market presence.

2. User Accounts & Responsibilities

• Accuracy of Information: You agree to provide true, current, and complete information during registration and profile creation. Submitting fraudulent, deceptive, or misleading details is strictly prohibited.
• Credential Security: You are solely responsible for maintaining the confidentiality of your account credentials, login tokens, and passwords, as well as for all activities conducted under your account.
• Account Termination: Blyxxa LLC reserves the right to suspend, restrict, or permanently terminate accounts that violate these Terms, engage in unlawful conduct, or compromise the operational integrity of the Platform without prior notice.

3. Subscriptions, Payments & Billing

• Payment Processing via Stripe: Paid subscription packages (Lite and Pro memberships, featured placements, and rental services) are securely processed via Stripe under Blyxxa LLC. Your billing and bank statements may reflect "Blyxxa LLC" or "NexusPages".
• Automatic Renewal: Subscriptions renew automatically on a recurring monthly or annual basis unless cancelled prior to the renewal date through your merchant billing portal.
• Immediate Digital Performance: Because directory listings, turnkey website provisioning, and automated SEO infrastructure are deployed immediately upon payment confirmation, rendered billing cycles are non-refundable, except where mandated by statutory consumer protection laws. Cancellation prevents subsequent billing cycles.
• Fully Managed Cloud Hosting & Storage: Websites and storefronts hosted on NexusPages include dynamically scalable, fully managed cloud hosting. Storage scales automatically to accommodate your business profile, menu items, gallery assets, and product catalog as needed. Independent cPanel/FTP server access is not provided; server maintenance, performance scaling, SSL certificates, and technical infrastructure are managed end-to-end and automated exclusively by the NexusPages cloud platform.

4. Content Safety, Media Moderation & Intellectual Property

Merchants and users retain intellectual property rights to the text, images, trade names, and trademarks they submit, but grant Blyxxa LLC a non-exclusive, worldwide, royalty-free license to host, display, index, and promote such content across the Platform.

• Zero Tolerance for Child Sexual Abuse Material (CSAM — 18 U.S.C. § 2258A): We enforce an uncompromising zero-tolerance policy regarding any imagery depicting or promoting child sexual exploitation or abuse. All uploaded media is screened in real time using automated perceptual hashing algorithms (dHash and PhotoDNA-equivalent Hamming distance blacklist matching). Any detected or suspected illegal content results in immediate permanent account termination, asset deletion, and mandatory referral of user logs (IP address, timestamps, account data) to the National Center for Missing & Exploited Children (NCMEC) and law enforcement authorities.
• Obscenity & Adult Content Filtering: To maintain a professional, family-friendly commercial environment, uploaded images undergo mathematical color-space inspections (center-weighted YCbCr skin-tone analysis). Product listings exceeding safety thresholds are routed to administrative moderation queues; firm gallery and profile logo uploads containing prohibited nudity are rejected automatically.
• Copyright Infringement & Commercial Stock Media (17 U.S.C. § 512 / DMCA): Users must not upload copyrighted works, commercial stock photography (from agencies such as Shutterstock, Getty Images, iStock, Adobe Stock, Depositphotos, etc.), or third-party assets without explicit commercial licenses. Uploaded files undergo EXIF, IPTC, and XMP metadata scanning for commercial copyright signatures. Unlicensed images are removed immediately. The uploading user assumes full and sole legal, administrative, and financial indemnification liability for any copyright infringement claims.
• Safe Harbor & Intermediary Status: Under 47 U.S.C. § 230 and international safe harbor frameworks, NexusPages operates as an interactive computer service provider and host. We do not exercise general editorial control over user-submitted business listings. Pursuant to our Notice-and-Takedown procedure, substantiated notices of infringement or unlawful activity are investigated and removed expeditiously. DMCA notices may be sent to: contact@blyxxa.com.

5. Service Availability & Disclaimer of Warranties

The Platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. While we employ automated multi-region backups and enterprise-grade cloud hosting, Blyxxa LLC does not guarantee that the service will be entirely uninterrupted, error-free, or invulnerable to hardware failures, scheduled maintenance, or force majeure events.

6. Platform Modifications

Blyxxa LLC reserves the right to modify these Terms, platform capabilities, service tiers, or pricing structures at any time. Updated Terms take effect immediately upon publication on the Platform. Continued use of our services following revisions constitutes full acceptance of the updated terms.

7. Affiliate & Referral Partner Program

• Commission Structure: Registered partners earn a fixed commission of $10.00 USD for each new, verified subscriber who enrolls in an active "Pro Package" via their unique partner referral link.
• 30-Day Holding Period: To protect against fraudulent chargebacks, cancellations, or payment disputes, accrued commissions remain in a "Pending" status for 30 calendar days following the transaction date. If the underlying subscription is refunded or disputed within this window, the commission is voided.
• Payout Threshold: Partners may request a cash withdrawal to their verified bank account once their cleared earnings reach the minimum payout threshold of $50.00 USD.
• Tax Compliance & Substitute Form W-8BEN: Prior to receiving affiliate payouts, international partners must electronically complete and submit a Substitute Form W-8BEN (Certificate of Foreign Status of Beneficial Owner for United States Tax Withholding and Reporting) to substantiate non-US tax residency and statutory withholding compliance. Accounts with fraudulent or mismatched tax certifications are disqualified.
• Anti-Abuse & Integrity: Self-referrals, automated script traffic, deceptive advertising, and fake accounts are strictly prohibited. Accounts engaging in manipulative practices will be terminated immediately, with total forfeiture of accrued balances.

8. Marketplace, Local Merchant Showcase & Commercial Disclaimers

• Direct Commercial Transactions: Payment terms (including Cash on Delivery, In-Store Payment, Direct Bank Transfer/ACH/Wire, or merchant-provided third-party checkout URLs) are established solely between the buyer and the merchant. All aspects of order fulfillment, shipping, warranty, invoicing, and returns are the exclusive responsibility of the transacting parties.
• Product Authenticity & Inspection: We do not conduct physical inspections or authenticity audits of items listed by independent sellers. Consumers are strongly encouraged to inspect items in person or upon receipt. Blyxxa LLC disclaims any warranty or liability for product defects, counterfeit merchandise, or non-delivery.
• Verification Badges Disclaimer: Platform trust indicators—including "📧 Ownership Verified Business" (contact and domain verification), "🪪 Document Verified Business" (formal review of corporate or tax registration documents), and "🛡️ ID Verified Seller" (government identification review)—reflect that basic identity and administrative checks were conducted. These badges do not constitute a legal endorsement, credit rating, insurance policy, warranty of merchantability, or financial guarantee by Blyxxa LLC.

9. International Safe Harbors & Multi-Jurisdictional Liability Boundaries

Our platform infrastructure is engineered to serve businesses and consumers worldwide across multiple legal systems, including the United States, United Kingdom, Canada, Australia, New Zealand, Singapore, India, the United Arab Emirates, South Africa, and international markets. The following statutory protections govern intermediary liability:

• United States (Section 230 CDA & DMCA): Pursuant to 47 U.S.C. § 230 (Communications Decency Act), NexusPages is an Interactive Computer Service provider and shall not be treated as the publisher or speaker of information provided by third-party content creators. Copyright disputes are processed strictly under the Digital Millennium Copyright Act (17 U.S.C. § 512).
• United Kingdom (Hosting Defense & UK GDPR): Under Regulation 19 of the Electronic Commerce (EC Directive) Regulations 2002 and the Online Safety Act, we act as an information society service provider and hosting intermediary, exempt from liability where we lack actual knowledge of unlawful activity and act expeditiously upon notice.
• Canada (PIPEDA & Notice-and-Notice): We adhere to the Notice-and-Notice regime set forth in Canada's Copyright Modernization Act and maintain personal data protection standards compliant with the Personal Information Protection and Electronic Documents Act (PIPEDA).
• Australia & New Zealand (ACL & Intermediary Exemption): Under Schedule 2 of the Competition and Consumer Act 2010 (Australian Consumer Law) and the New Zealand Fair Trading Act 1986, NexusPages provides an intermediary advertising showcase. Merchant representations do not represent representations or endorsements made by the Platform.
• Asia & Gulf Jurisdictions (Singapore, India, UAE): In accordance with Singapore's Electronic Transactions Act (ETA), Section 79 of the Indian Information Technology Act 2000 (Intermediary Safe Harbor), and UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions, the Platform operates as a neutral conduit without proactive surveillance duties.
• African Jurisdictions (South Africa, Nigeria, Kenya): We respect safe harbor and data processing standards under South Africa's Electronic Communications and Transactions Act (ECTA § 75) and POPIA, Nigeria's Data Protection Act (NDPA 2023), and the Kenya Data Protection Act 2019.

10. Governing Law, Dispute Resolution & Limitation of Liability

To the fullest extent permitted by law, Blyxxa LLC, its directors, employees, and agents shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from your access to or use of the Platform. These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without giving effect to conflict-of-law principles. Any legal claim or dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Bernalillo County, New Mexico, USA.
